Vendor Operating Policy and Seller Terms
ANSA ENTERPRISES PRIVATE LIMITED

ANSA ENTERPRISES PRIVATE LIMITED operates a marketplace platform through which approved vendors may list, market, and supply products to customers. This Vendor Operating Policy and Seller Terms document defines the commercial, operational, legal, compliance, and conduct obligations applicable to all vendors associated with the ANSA ENTERPRISES PRIVATE LIMITED marketplace.

This policy is designed to ensure lawful trade practices, genuine products, timely order fulfilment, proper customer support, transparent settlement procedures, and responsible vendor conduct.

By registering as a vendor, listing products, accepting customer orders, supplying goods, or continuing operations on the ANSA ENTERPRISES PRIVATE LIMITED marketplace, the vendor confirms acceptance of and agrees to comply with this policy.

Nature of Marketplace Services

ANSA ENTERPRISES PRIVATE LIMITED provides marketplace and technology-enabled services, including vendor onboarding, product catalogue display, order management, payment coordination, logistics coordination, return assistance, customer complaint handling, vendor verification, and seller performance monitoring.

ANSA ENTERPRISES PRIVATE LIMITED does not act as the manufacturer, brand owner, importer, distributor, or owner of vendor products unless expressly stated in writing. The vendor remains the seller of record and shall be fully responsible for the legality, authenticity, quality, safety, pricing, warranty, packaging, and supply of all products listed and sold by the vendor.

Vendor Eligibility

A vendor may be onboarded only after submission, verification, and approval of required business documents. Such documents may include GST registration certificate, PAN, business registration proof, address proof, bank account details, cancelled cheque, authorized signatory details, product category details, brand authorization documents, supplier invoices, and any other compliance document requested by ANSA ENTERPRISES PRIVATE LIMITED.

ANSA ENTERPRISES PRIVATE LIMITED reserves the right to reject onboarding, restrict account access, suspend operations, or terminate an existing vendor if the vendor fails verification, submits incomplete or doubtful documents, provides false information, violates marketplace rules, or creates operational, legal, financial, reputational, or customer risk.

Vendor Declarations

The vendor declares and confirms that:

All products listed and supplied are genuine, lawful, and legally sourced.

The vendor has full authority and right to sell the listed products.

Products are not counterfeit, stolen, expired, unsafe, defective, restricted, prohibited, mislabelled, illegally imported, or infringing any third-party rights.

Product listings, descriptions, images, prices, specifications, and claims are true, accurate, and not misleading.

The vendor shall comply with GST, tax laws, consumer protection laws, packaging laws, labelling rules, intellectual property laws, e-commerce regulations, and all other applicable legal requirements.

The vendor shall provide full cooperation for disputes, returns, refunds, chargebacks, customer complaints, audit checks, verification requests, and regulatory queries.

Catalogue and Product Display Rules

The vendor shall provide complete and correct catalogue information, including product name, brand, description, images, colour, size, model number, specifications, price, tax details, MRP, stock availability, warranty information, return eligibility, and any other relevant product details.

The vendor shall not upload or use false claims, copied brand content, misleading photographs, fake discounting, incorrect MRP, wrong categorisation, unauthorized trademark references, exaggerated product benefits, or deceptive product descriptions.

ANSA ENTERPRISES PRIVATE LIMITED may modify, hide, suspend, or remove any product listing that violates this policy, creates customer confusion, breaches applicable law, affects payment partner requirements, or exposes the marketplace to operational, legal, financial, or reputational risk.

Restricted Product Control

The vendor shall not list, offer, sell, or supply any product that is banned, restricted, counterfeit, fake branded, illegally imported, stolen, unsafe, defective, expired, mislabelled, infringing, or otherwise prohibited under applicable law or marketplace rules.

If such products are identified or suspected, ANSA ENTERPRISES PRIVATE LIMITED may immediately suspend the product listing, cancel affected orders, hold vendor payouts, initiate customer refunds, recover losses, impose penalties, report the issue to relevant authorities if required, and terminate the vendor relationship.

Authenticity Verification

ANSA ENTERPRISES PRIVATE LIMITED may conduct product authenticity and compliance checks at any time. The vendor may be required to provide purchase invoices, distributor invoices, brand authorization letters, supplier details, import documents, warranty proof, stock records, packaging photographs, batch numbers, serial numbers, tax invoices, or any other supporting evidence.

Failure to provide satisfactory documents or clarification within the required timeline may be treated as a serious policy breach and may result in payout hold, listing suspension, order cancellation, account restriction, or termination.

Order Readiness and Dispatch

The vendor shall ensure that listed products are available and ready for dispatch. Once an order is received, the vendor must pack the correct product securely, include the required invoice or supporting documents, generate or apply correct shipment labels, and hand over the order within the prescribed timeline.

The vendor shall be responsible for product mismatch, delayed dispatch, wrong item shipment, poor packaging, damaged shipment caused by inadequate packing, missing item, defective goods, incorrect documentation, or avoidable order cancellation.

Logistics Support

ANSA ENTERPRISES PRIVATE LIMITED may coordinate fulfilment through approved logistics partners. The vendor shall cooperate for order pickup, reverse pickup, delivery-related queries, failed delivery resolution, shipment tracking, proof of delivery verification, and return processing.

Vendors shall not use independent delivery arrangements for marketplace orders unless prior written approval is obtained from ANSA ENTERPRISES PRIVATE LIMITED.

Customer Claims, Returns and Refunds

The vendor shall fully cooperate with ANSA ENTERPRISES PRIVATE LIMITED in resolving customer claims relating to damaged products, wrong items, defective products, missing products, fake or counterfeit goods, delayed delivery, product not as described, incomplete accessories, warranty issues, or any other product-related concern.

Where the claim arises due to vendor fault, ANSA ENTERPRISES PRIVATE LIMITED may approve refund, replacement, cancellation, compensation, return acceptance, or other customer resolution and recover the applicable cost from the vendor’s current or future payouts.

Settlement Calculation

Vendor payments shall be calculated after successful delivery confirmation, order reconciliation, and completion of applicable checks. ANSA ENTERPRISES PRIVATE LIMITED may deduct marketplace commission, GST on applicable fees, logistics charges, payment gateway charges, refunds, chargebacks, return charges, penalties, customer compensation, adjustment amounts, and previous outstanding recoveries.

Vendor payouts may be delayed, adjusted, or withheld in case of pending proof of delivery, customer complaint, active return request, chargeback, suspicious transaction, incomplete KYC, invoice mismatch, product authenticity concern, regulatory issue, legal notice, payment partner query, or vendor non-cooperation.

Vendor Performance Review

ANSA ENTERPRISES PRIVATE LIMITED may review vendor performance based on dispatch timelines, cancellation rate, return rate, customer complaint ratio, authenticity complaints, packaging quality, delivery success rate, chargeback ratio, documentation compliance, stock accuracy, response time, and overall conduct.

Poor or repeated underperformance may result in warning, reduced product visibility, order limits, payout delay, monetary penalty, temporary suspension, permanent suspension, blacklisting, or termination of the vendor relationship.

Data and Customer Protection

The vendor shall use customer information only for fulfilling marketplace orders. The vendor shall not contact customers for unrelated promotions, share customer data with third parties, store customer details unnecessarily, misuse customer information, sell customer data, or divert customers to direct transactions outside the marketplace.

Any misuse of customer data shall be treated as a serious violation and may result in immediate suspension, payout hold, termination, recovery of losses, and legal action.

Vendor Breach and Action

In case of breach of this policy, ANSA ENTERPRISES PRIVATE LIMITED may take appropriate action, including product listing removal, account restriction, payout hold, order cancellation, penalty, recovery, temporary suspension, permanent termination, blacklisting, and initiation of legal proceedings.

The vendor shall indemnify ANSA ENTERPRISES PRIVATE LIMITED against any loss, claim, penalty, customer complaint, chargeback, regulatory action, legal dispute, or third-party claim arising due to the vendor’s products, documents, conduct, breach, negligence, or non-compliance.

Modification of Policy

ANSA ENTERPRISES PRIVATE LIMITED may amend, revise, update, or replace this policy from time to time for business, operational, legal, compliance, payment partner, logistics partner, risk management, or customer protection reasons.

Continued registration, listing, order acceptance, or participation on the ANSA ENTERPRISES PRIVATE LIMITED marketplace after such changes are published or communicated shall be deemed acceptance of the revised policy.
